End User License Agreement Falker Digital Products

This End User License Agreement (“Agreement”) is an agreement between (i) you (whether an individual or a legal entity), and (ii) Falker Automação Agrícola Ltda. ("We" or "Falker"). By activating, accessing, downloading, installing or otherwise using Falker Digital Products, you represent and warrant (a) that you are acting for business, research or education purposes and (b) that you have the power and authorization to enter into this Agreement, agreeing to be bound by these terms and conditions, including the Privacy Policy set out in Exhibit 1. If you enter this Agreement on behalf of a company or institution, you declare that you can link that company or institution, and in each case the terms "you" or "yours" must refer to that company or institution.

Our services, products and software may change over time. We make no guarantee of any results, and in this act, we communicate that none of the Falker Digital Products or data generated by them (“Generated Data”) should be used as a substitute for good agricultural practice, including diligent field monitoring, or as exclusive means for making agricultural, risk management and financial decisions. We recommend that you consult with your agronomist, commodities broker and other service providers before making financial, risk management and agricultural practices decisions.

1. Purpose of this Agreement

This Agreement defines how you can and how you cannot use the Falker Digital Products that we license to you, on a non-exclusive basis, and what we will and will not do about your use, as well as other important legal restrictions and obligations. While some Falker Digital Products may be provided or licensed to you free of charge, you agree to the terms of this agreement when you begin to use them.

By entering into this Agreement, you also represent and warrant that you have a stake as an owner, partner, lender, tenant, or operator in the properties associated with your license or that you are a service provider or have otherwise been expressly authorized by the owner, partner, lender, tenant, or operator of said properties.

2. Your Use of Falker Digital Products

2.1. What can you do:

•  As long as you comply with the terms of this Agreement, you and the people working for you can use the Falker Digital Products for your internal use in your agricultural operations or to provide consulting and / or advisory services to third parties.
•  Falker Digital Products are licensed, not sold, to you.
•  If you have placed an order for a Falker Digital Product provided or licensed for a fee, you may use that Falker Digital Product only until the end of the subscription period for that Falker Digital Product.

2.2. What you agree to do:

• Provide accurate, reliable and appropriate data to the system.
• Ensure that the people working for you comply with this Agreement, and are responsible for the use of Falker Digital Products by these people.
• Keep your account information up to date.
• AAdminister all passwords for your authorized users and immediately notify us if you believe your account is no longer protected.
• Maintain, at your expense, a telecommunication line, modem, communication software, e-mail address and other resources necessary to communicate with Falker.
• We recommend that you let us know how we are meeting your needs and how you feel about Falker Digital Products.

2.3. What you can not do:

• Assign, transfer or sublicense this Agreement or the rights we grant you in this Agreement.
• Modify, edit, adapt, change, translate, adopt, transfer, refine, disassemble, capture data (by scanning, tracking and the like), reverse engineer or decompile the Falker Digital Products or any code, script or software that does any part of Falker Digital Products.
• Remove or modify any identifications or notifications of exclusive rights contained in the Falker Digital Products.
• Violating any security feature of a Falker Digital Product, or attempting to do so, including attempting to access or use part of the Falker Digital Products for which you have not paid all due and applicable amounts.
• Use Falker Digital Products in any way that may imply an unlawful act, violation, violation of rights or damage to Falker or third parties, including, but not limited to, the use for hacking of a computer device with the objective of obtaining, tampering or destroying data or information without the express authorization of the data subject or the device or server on which it is stored;

If you do any of the above, we may suspend or terminate your access to the Falker Digital Products and we will not be responsible in any way for your actions.

3. Our Responsibilities

3.1. What will we do:

• We will make Falker Digital Products available for ordering, subscription, or licensing through our own sales team, through resellers or authorized representatives, or through software or application distribution platforms.
• There is the possibility to provide updates, extensions, new versions and corrections to Falker Digital Products.
• You must install or use the latest version of the Falker Digital Products and observe any additional requirements.
• We will try to notify you of any changes we make to Falker Digital Products, although this may not always be possible.
• An update may result in a change, or interruption, in features of the Falker Digital Products.
• There is a possibility that we will use your opinion on Falker Digital Products to improve the products or any purpose, without restrictions.

3.2. Your information and data:

• When uploading, entering, transmitting, storing or otherwise making Data available for Falker Digital Products, the data will remain yours, in accordance with Falker's Privacy Policy, incorporated into this document as Annex 1.

4. Intellectual property

Falker is the holder of all intellectual property rights in Falker Digital Products.

You do not acquire, by this instrument or by the use of Falker Digital Products, any intellectual property rights or other exclusive rights, including registrations, trademarks, copyrights or any rights over confidential information or trade secrets, as well as any content made available in the products digital Falker, including, but not limited to, text, graphics, images, logos, icons, photographs, editorial content, notifications, software and any other material, about or related to Falker software or any part thereof.

5. License Renewal, Subscription and Payment

5.1. License Renewal :

• Unless otherwise provided for in a specific contract, your use and / or access to Falker Digital Products is licensed on a subscription basis.

5.2. Annual Fees :

• Falker Digital Product Annuity prices may change in the future. The subscription prices for any license renewal will be in accordance with the applicable list price in relation to the said Falker Digital Product in force at the time of renewing the subscription.
• Notwithstanding anything to the contrary, any subscription renewal with respect to which the services or hectares have been changed in relation to the previous subscription period may result in a new price at the time of renewal, without taking into account the price of the subscription period. previous.

5.3 Payment:

• You agree to pay: (i) upon expiration, all amounts set forth in the applicable order, for any Falker Digital Product, and (ii) at the time of renewal, if requested, subscription prices applicable to any renewal of Product subscription Digital Falker.
• Falker Digital Products subscription fees and prices listed on any order and for any Falker Digital Products subscription renewals include taxes applicable to the Falker tax framework. • If a payment is not successful for any reason, you will remain responsible for any unpaid amounts.
•  If your subscription payment is overdue for 30 days or more (or 10 or more days if you pay by credit or debit card), we may suspend your access until the amounts are paid in full.

• Use of Falker Digital Products will be at your sole risk.
• We do not promise that your use of Falker Digital Products will be uninterrupted or that Falker Digital Products and Generated Data will meet your requirements, be accurate or error-free.
• Falker Digital Products and any services provided or Generated Data provided by or through Falker Digital Products are provided "as is" and "as available", with all defects and without guarantees of any kind, be explicit, implied, such as guarantees of effect on productivity, commercial acceptance, satisfactory quality, suitability for a specific purpose, peaceful possession or non-infringement of the rights of third parties, all of which are expressly denied.
• No verbal or written information or recommendation provided by us or our authorized representatives will create a guarantee.
• The waivers and exclusions provided for in this Agreement will apply, notwithstanding any omission and any legal remedy.
• Falker and any business partners, employees, directors, advisers, shareholders, agents, successors, licensors or subcontractors, will not be responsible for any loss or damage, including, among others, damages for lost profits, loss of crop or production, loss data, business interruption or any other loss or damage suffered as a result of your use or inability to use the Falker Digital Products or a decision made or any action taken by you when relying on the Falker Digital Products, Generated Data or any results obtained of its use.
• Certain features of Falker Digital Products may allow you to upload or otherwise make Data available for Falker Digital Products. You will be solely responsible for your Data and the consequences of uploading or otherwise making Data available to Falker Digital Products.
• We have no responsibility, and we will not incur any liability whatsoever, arising out of or in respect of Data that you are not the owner of or any disclosure or use of your Data or Data Generated by a third party to whom you have granted access to your Falker Digital Product account or information.
• We are not responsible for any delays, limitations, non-delivery, loss or damage resulting from the transfer and transmission of data in the media, including the Internet.
• Under no circumstances will Falker's full liability to you for all damages exceed the amount corresponding to the license plan paid to obtain this Falker Digital Product license.

7. Term and termination

• This Agreement will come into effect when you indicate your acceptance of this Agreement, or the effective date set out in your Falker Digital Product order, whichever comes first.
• Each party, You or Falker, may terminate this Agreement if the other party breaches this Agreement and does not remedy the breach within 30 (thirty) days of notification of such breach.
• We may terminate this Agreement with respect to any Falker Digital Product if: (i) we no longer offer said Falker Digital Product; (ii) you do not pay amounts due by the due dates; (iii) your use of the Falker Digital Product does not comply with this Agreement or any applicable laws or regulations; or (iv) we believe that your account has been accessed without your authorization.
•  If we or you terminate this Agreement with respect to any Falker Digital Product: (i) your right to use or access that Falker Digital Product will terminate immediately, and you must immediately terminate the use of the Falker Digital Product, or you will not be terminated. better able to access or use the Falker Digital Product; and (ii) your only right will consist of a proportional refund of the amounts paid by you corresponding to the remaining usage fees for the Falker Digital Product based on the respective order.

8. Other terms:

8.1 Full agreement

• This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Falker regarding your use of the Falker Digital Products and supersedes all other previously existing agreements between you and Falker regarding your use of the Products Digital Falker.
• The parties must comply with this Agreement as independent contractors. This Agreement does not create a formal joint venture, partnership or business organization of any kind. This Agreement is binding on the parties and their respective heirs, executors, successors and assigns, effective for their benefit, and is enforceable by them. The unenforceability of any provision will not affect any other provision of this Agreement, and any unenforceable provisions will be limited or eliminated to the minimum extent necessary. Failure to insist on the performance or exercise of any rights under this Agreement will not be construed as a waiver of any future performance or the future exercise of any such right. All legal rights and remedies provided for in this Agreement are cumulative and additional to any other legal rights and remedies provided for by law. The provisions whose context indicates that they are intended to survive shall survive the termination or termination of this Agreement.

8.2. Applicable Laws and Controversies

• This Agreement and all conduct, disputes and causes of claim related to this Agreement will be governed by the laws of Brazil.
• The parties hereby choose the jurisdiction of the District of Porto Alegre, State of Rio Grande do Sul, to settle any disputes arising from this Agreement, with express waiver of any other forum, however privileged it may be.

8.3 Updates to this Agreement

• We may change this Agreement at any time. You can view the most recent version of this Agreement at: www.falkermap.com or water.falker.com.br. The inscription “Last Update” at the top of this page indicates when this Agreement was last amended. Any update to this Agreement will come into effect upon your first use of the Falker Digital Products with effective notice of such changes, or when we publish or distribute the revised Agreement, and these changes will apply to your use of the Falker Digital Products after the effective date. of the revised Agreement. 8.4 Electronic Communications

• Any Notices, contracts, disclosures or other communications that we send to you in electronic form will satisfy any legal communication requirements, including the requirement that communications be in writing.
• At any time, you may: (1) require a printed copy of any Notification provided or made available to you in electronic form by us, free of charge, and / or (2) withdraw your consent to receive future Notifications in electronic form. 8.5 Definitions

• “Falker Digital Products” means any of the following items that we may provide you, regardless of name or brand, whether individually or in conjunction with hardware: (i) rural administration software, precision agriculture and support for agricultural decisions, in any form, and similar products; (ii) products or software for rural administration, precision agriculture and agricultural decision support, including, for example, for soil analysis, plant analysis and field image processing; (iii) the websites, applications and technological platforms that provide, or allow you to access, such software, software as a service, products or services; or (iv) all associated documentation, updates, extensions, new versions and corrections.
• “Data” means the location, maps or boundaries of the fields, meteorological, climatic, agronomic information, crop loss, crop productivity, environmental, agricultural practices, accounts, among others, in addition to data that is loaded, inserted, transmitted or stored in your Falker Digital Products, directly by you or your Sales Representative, or through your equipment.
• “Generated Data” means data, characteristics, features, tools, analyzes, results, estimates, recommendations, among other information generated, published, displayed, transmitted or made available on the Falker Digital Products or by them, whether or not they are related to the Data . “Sales Representative” means a Falker sales representative, your reseller, and any affiliated resellers or companies that sell Falker Digital Products subscription (s) to you.
